You could also consider avoiding AMT by selling the shares in the same year you exercised them. For example, if the price of your company shares fall after exercising your ISOs, it may make sense to sell the shares in that same year. Although this would generate a disqualifying disposition and cause the bargain element to become taxed as short-term capital gains, it might prevent you from triggering AMT, and could reduce your tax burden. For example, if the strike price is $10 and the market price is $40 at the time of exercise, the spread is $30. If you exercise 100 shares and later disqualify when the market price is $30, you would owe regular income tax on only $2,000 ($20 x 100).
Fees, loans, and funding
First, only the board of directors can approve a grant of stock options to an employee and typically the type of grant they are making can only be made to an employee. There is no way they can put the stock option grant in your contract because only the board can authorize the grant and the board can only authorize the grant to an employee, which you won’t be until after you join the company. The 50% ownership requirement is reduced to 20% where there are legitimate business criteria for the granting of the option due to the relationship between the service provider and the optioned entity. The attraction of stock options to executives and employees is that they themselves control the timing of income recognition by timing the exercise of the option. If section 409A applies to the option, this flexibility is lost, substantially eliminating the value of the stock option. To avoid taxation under section 409A, the option must either be specifically exempted from section 409A or meet certain requirements as outlined below.

Stock options give you the right to buy shares of a particular stock at a specific price. The tricky part about reporting stock options on your taxes is that there are many different types of options, with varying tax implications. You don’t have to exercise all your stock options at one time, however, minimums and fees may apply. If you decide to sell your shares after the waiting period, you will be subject to a capital gains tax on the difference between the sale price and the grant price. You do not pay taxes when you exercise ISOs, though the amount of the bargain element may trigger the alternative minimum tax , which phases out income exemptions targeted for low- and middle-income taxpayers. So if your income is over $73,600 for individuals in 2021 (and more than $114,600 for married couples filing jointly or qualifying widowers, and $57,300 for married tax filers filing separately), you could be subject to the AMT.

Incentive stock options have tax advantages, but there are requirements to follow in order to gain the greatest benefit.
